    conflicting bylaws

Can you have a bylaw amendment that authorizes the AGM to have certain powers of authority, yet, still have another section of the bylaws that allows the board to have power between the AGM? "no allied personnel shall be admitted to membership without the approval of a two-thirds (2/3) majority of the AGM delegates" - potential amendment "the board shall be the governing body when the AGM is not in session. The board shall take such action and render such decisions as are within the objectives of the organization" If the above amendment is adopted, does that now conflict with the powers granted to the board? Is it out of order?
