Guest Discouraged Posted May 16, 2011 at 11:04 AM Report Share Posted May 16, 2011 at 11:04 AM No further details are necessary. These two (?) members are free to determine for themselves whether the circumstances warrant abstaining from voting. We are a 501c.6 and want to know if the executive officer is considered a non voting member of the BODs and if they are supposed to leave if executive session is called. hmtcastle Posted May 16, 2011 at 11:14 AM Report Share Posted May 16, 2011 at 11:14 AM We are a 501c.6 and want to know if the executive officer is considered a non voting member of the BODs and if they are supposed to leave if executive session is called. You'll find the answers in your bylaws. There are no default rules in RONR for your executive officer or for your board. And there are no non-voting members in RONR-Land.In other words, your executive officer is not a member of your board unless your bylaws say he is. And if he's a member he can vote. Unless your bylaws say he can't.Executive session has nothing to do with it.

Nonmembers may be allowed to stay for Executive Session, and nonmembers may be excluded from the meeting anytime, with or without Executive Session.
