Special Committee out of control

Our organization has a Special Committee whose chairperson has started to run amok. She seems to believe that the general membership has granted her committee (particularly its chair) to do whatever it pleases, even if it runs counter to what the general membership and/or the board of directors has dictated.

She is even drafting and distributing minutes that contain her version of what happened at the most recent meeting of this particular Special Committee, even though most of it is entirely imaginary (although coincidentally enough, these minutes refelct her own desires exactly).

 

If the bylaws state that the Board is responsible for Special Committees and is the body who in practical terms appointed this person as chair (as there was no motion to that effect ever made at the general membership level...although neither was their such a motion made at the Board level...sigh...), can the Board simply remove this person from the committee?

 

Is this a Chapter XX situation? (Please tell me it isn't.)

No. Formal disciplinary procedures are not required to remove committee members unless the Bylaws provide a set term of office for the committee member - which is highly unlikely for a special committee.

The appointing power could remove her, by means of a motion to Rescind, or by the sole individual who appointed the chair (p. 497, ll, 7-13).

Whew. Well, that is a relief. No, there is nothing in the bylaws about a set term of office for committee members (much less special committee members...not sure what that would even look like...).

 

Of course I'm sure the hue and cry this person will let out upon being released from her duties will not be pleasant...but it will be decidedly more pleasant than letting her continue to think she gets to control everything on this matter.
