Notice for motion to rescind

Hello, our bylaws require notice of board meetings 15 days prior by mail or personal phone call. Notice of our upcoming meeting has already been given. In order to provide notice of a motion to rescind a motion adopted at our last meeting, can our corresponding secretary phone each board member, or is the motion required to be in writing?

Previous notice may be given in the call of the meeting. If your bylaws authorize the call of the meeting to be issued by phone call, then the notice of the motion may be included in such a call.

" A requirement of previous notice means that announcement that the motion will be introduced—indicating its exact content as described below—must be included in the call of the meeting (p. 4) at which the motion will be brought up, or, as a permissible alternative, if no more than a quarterly time interval (see pp. 89–90) will have elapsed since the preceding meeting, the announcement must be made at the preceding meeting."  RONR (11th ed.), p. 121

 

How your unique rules affect this passage is something we can't determine, nor do we know if you have 15 days left before your meeting.

 

If you can't give proper notice it's not the end of the world.  You'll just have a higher vote threshold than a majority vote.

The original poster did not indicate what kind of meeting this would be. If this is a regular meeting then the previous comments apply. However, if this is a special meeting then notice would be required or the subject matter cannot be considered.
 

The only business that can be transacted at a special meeting is that which has been specified in the call of the meeting.
