LeighMatthews Posted June 27, 2014 at 05:48 PM Report Share Posted June 27, 2014 at 05:48 PM Our by-law states that a resignation by a Director is effective once received by the Secretary. Is it also necessary (or best practice) to bring a resolution to the full Board of Governors to acknowledge their receipt of the resignation and for their acceptance? Or can the resignation be presented by the Secretary at a meeting and included in the minutes? Many thanks.
jstackpo Posted June 27, 2014 at 05:55 PM Report Share Posted June 27, 2014 at 05:55 PM Normally (pp. 289, 467) a resignation must be accepted by the body that gets to fill the resulting vacancy to be effective, but your special rule (not found in RONR, but perfectly good) supersedes the RONR rule. That was a long-winded answer of "No" to the first portion of your question.
