If that's the case and all members are on the elist, doesn't that constitute a meeting of the board?What would be the procedure for excluding a board member from the elist? However, if you are going to use an e-list as a method of conducting board business, then it all board members should have access to it. "Excluding a board member from the e-list" shouldn't be allowed, but once a person is removed from the board then they can be removed from the list as well.
