Also we have a past president's position is for one year, with voting rights of that one year. Yes. RONR has no rule about how many people should be on a board or whether the number should be odd or even. Regardless of how many people are on the board, there will often.... maybe usually.... be one or more absent, so you never know whether you will have an even or odd number of people in actual attendance. In addition, since it takes a majority vote to adopt most motions, a tie vote simply fails. No problem. You're not in limbo. The motion simply failed to get a majority vote. Not necessarily, if the current president serves for more than one year and the (immediate) past president serves, ex officio, on the board for only one year, then the (immediate) past president can be off the board (even though he's still the immediate past president). Not necessarily, if the current president serves for more than one year and the (immediate) past president serves, ex officio, on the board for only one year, then the (immediate) past president can be off the board (even though he's still the immediate past president).I agree with Edgar's rationale. Although it's possible the position of past president is being eliminated, I think it is more likely that this organization, which elects its officers for two year terms, wants the past president to serve on the board for only one year, meaning the membership of the board drops by one when the past president comes off the board.
