Does name change require bylaws change via amendment?

New to this board so please excuse me if I'm not familiar with all the procedures...

 

I volunteered to manage the governance documents for a state association of mothers of multiples NFP clubs. The state association is comprised of about 30 members clubs. The state association is considering a name change to better reflect our purpose and composition. Would that require an amendment to our bylaws or can we say it's an editorial change (editorial changes are allowed by our bylaws) and just change it throughout our governance documents?

 

Furthermore, if the state association changes their name, would the member clubs have to change their bylaws to reflect our name change and would that also be via amendment within their own club or could it just be an editorial change?

Usually a name change is indeed a true bylaw amendment, and requires the full bylaw amendment process.

 

However, your mention of permitted "editorial changes" clouds the issue.  We here can't tell you if your proposed change is "editorial" or not  --  that is a matter of bylaw interpretation for your organization to figure out  --  see p. 588.

 

Likewise any member club name changes are governed by the terms of your state bylaws.  RONR has nothing to say about that.

RONR makes no mention of "editorial  changes" and I have no idea what such a change would be.  I concur with Dr. Stackpole's answer above.  If your bylaws mention the official name of the organization....which they should to, unless perhaps you are incorporated...  it seems to me that changing the name would require a bylaw change.  Your name IS the name stated in the bylaws unless you are incorporated.

No, a name change would require a bylaws amendment.  In fact, the name of the organization is usually the first article in the bylaws.

 

I'm not sure what your bylaws means by "editorial" changes, but it sounds dangerous to me.  You don't want your bylaws changed by an "editor".
