Retention of BOD member position if the member has lost an election for VP

A BOD member was elected for a 3 year term on the BOD. The BOD member attempted to be elected as Vice President in the annual elections of officers and directors, they lost the election for VP.
May she/he now return to the BOD to finish the last two years as a BOD member or has his/her right been forfeited?

Unless he resigned his board position (and the resignation was accepted) to run for VP  (there is no RONR requirement that he do so), he is still on the Board.   No "forfeit" involved unless your rules have one. He could even serve in both positions, per RONR, if he had won the VP election.

The answer to your question probably depends upon the exact wording in your bylaws regarding the board of directors and officers. 

 

Answers to a couple of questions might help, though:

1.  Did the director resign from his position as director?

2.  Has the term for that directorship position expired?

3.  Was a new director elected to replace him?

3. There was 5 members nominated for 3 BOD positions of BOD members whose terms were up. BOD members run for three year terms.The VP being and officer position has to run for election annually.

In light of your answers in post # 4, I agree with Dr. Stackpole.   It appears to me, based on the information we have been provided, that this person retains his seat on the board.

A member does not have to resign one position to run for another position unless the By-laws, or applicable statute, state otherwise.
