Guest Carolyn Posted July 2, 2015 at 11:43 PM Report Share Posted July 2, 2015 at 11:43 PM I am parliamentarian of a small philanthropic group. The outgoing president has advised persons that she considers my position on a by-laws revision committee as a "conflict of interest" on my part. As the only professional lawyer on the Board I do not see the issue and have considered it previously when hinted at. I should mention that the outgoing president does not want me on the By-Laws Board as she wishes to proceed with revisions that are not considered advisable and I threaten her position. Am I missing something or am I conflicted out?
Chris Harrison Posted July 3, 2015 at 12:29 AM Report Share Posted July 3, 2015 at 12:29 AM If the President chooses who serves on the Committee then she can choose whether you are on it (whether there is a conflict or not). If it is the Membership (or some other body) who appoints the Committee members then she can argue why she thinks you shouldn't be on the Committee and you can argue why you think you should and they will decide.
