Shmuel Gerber Posted September 21, 2015 at 02:30 AM Report Share Posted September 21, 2015 at 02:30 AM Can a written proxy vote submitted prior to or at the beginning of a meeting contribute to the number of members needed for a quorum? I don't see how a proxy could contribute to the number of members needed for a quorum, though it certainly might contribute to the number of members present (by proxy) for purposes of determining whether a quorum is present.
