Non-Member with Power of Attorney for member

Can a Non-Member, with Power of Attorney for a Member, make a motion or bring charges against another member of an assembly?  The Power of Attorney specifies it covers personal reationships and affairs but does not specify business operating transactions.  The assembly is part of an incorporated club.

According to RONR, no.  Proxies are prohibited to the maximum extent allowable by law.

 

But if you are a corporation, your articles of incorporation, bylaws, state law or code, or a combination of these, may supersede the rules in RONR.

 

You'd likely benefit from the advice of an actual Attorney.

As this deals with a Power of Attorney, I would recommend consulting with a lawyer just to make sure how to handle the situation.  A Power of Attorney may carry out certain functions, just as making sure membership dues are paid, but may have other rights.  None of us here are lawyers, so cannot help you with specific issues.
