Number of votes needed to remove CEO

EA to CEO

Recommended Posts

I'm not sure how relevant "the most common practice" is for any particular organization (e.g. yours) but see FAQ #20 for what RONR has to say on the subject.

Whether your CEO is an elected/appointed officer or a hired employee would make a difference in the process for removal.

In any event, if a member thinks the bylaws should be amended he should make a motion to do so. The motion will be debated and the assembly will decide what to do.

Our current bylaws call for a 2/3 vote of the entire board to remove the CEO, and it has been asked if we want to change to a simple majority or another level. I'm having a hard time finding what is typical. Can anyone tell me what most common practice is?

For an employee hired by the board, the default requirement to fire the employee would be a majority vote, and this is the most common practice, in my experience.
