EA to CEO Posted October 1, 2015 at 06:28 PM Report Share Posted October 1, 2015 at 06:28 PM Our current bylaws call for a 2/3 vote of the entire board to remove the CEO, and it has been asked if we want to change to a simple majority or another level. I'm having a hard time finding what is typical. Can anyone tell me what most common practice is?
Edgar Guest Posted October 1, 2015 at 06:33 PM Report Share Posted October 1, 2015 at 06:33 PM I'm not sure how relevant "the most common practice" is for any particular organization (e.g. yours) but see FAQ #20 for what RONR has to say on the subject. Whether your CEO is an elected/appointed officer or a hired employee would make a difference in the process for removal. In any event, if a member thinks the bylaws should be amended he should make a motion to do so. The motion will be debated and the assembly will decide what to do. EA to CEO Posted October 1, 2015 at 06:44 PM Author Report Share Posted October 1, 2015 at 06:44 PM The CEO is a hired employee appointed by the board. I think I'm looking more for information for when it comes to a debate so we can argue for keeping it at 2/3.
