Guest Guest Posted October 20, 2015 at 06:20 PM Report Share Posted October 20, 2015 at 06:20 PM Should the minutes contain the names of the directors and how they voted when showing the results of a motion? Or should they just stipulate passed or failed 4-0 or whatever the number may be?
jstackpo Posted October 20, 2015 at 06:47 PM Report Share Posted October 20, 2015 at 06:47 PM Names and how they voted go in the minutes ONLY if a roll-call vote (p. 420) is ordered. And by "ordered" I mean a motion is adopted saying to do it on one particular issue. Otherwise a simple "Adopted" / "Defeated" is all that is required - not even the count.
