And I also suggest that to avoid future dilemmas of this nature, the quorum provision in the bylaws be ameded as soon as possible to make the quorum a majority of the board, rather than a fixed number. Or just strike the quorum provision, which then will automaticlaly default to the RONR-defined quorum (a majority of the memebrs). Then, as vacancies occur, the quorum will adjust accordingly.
