There was one more member who called in and attended the meeting through a conference call because he was out of town; with him we were 8. He was able to listen and participate during the meeting. Based on our by-laws we need minimum 8 to have a quorum. Did we have a quorum? Does the board member who attended the meeting thru a conference call count as a member in order to have a quorum? Sure, he counts as a member because he is, but the problem is that he doesn't count as "present" because he's not.
