Quorum with a member attending through conference call

In our organization, we have a board of 15 members. We were only 7 at the last meeting. There was one more member who called in and attended the meeting through a conference call because he was out of town; with him we were 8. He was able to listen and participate during the meeting. Based on our by-laws we need minimum 8 to have a quorum. Did we have a quorum? Does the board member who attended the meeting thru a conference call count as a member in order to have a quorum?

No, you did not have a quorum present unless your bylaws (or applicable law) permit participation by absentees in this fashion.

Sure, he counts as a member because he is, but the problem is that he doesn't count as "present" because he's not.  The quorum is the minimum number of members that must be present in order to conduct business.
