mcfarland Posted February 22, 2016 at 05:32 PM Report Share Posted February 22, 2016 at 05:32 PM Our bylaws are silent on requirements to amend them. Does RONR provide guidelines for making bylaws and/or articles of incorporation amendments, in terms of notifying members and/or board members so many days in advance, and whether a 2/3rds majority is required to pass a bylaws/articles change? Do bylaws/articles changes need to be made at a regular meeting? Thank you in advance for your assistance.

George Mervosh Posted February 22, 2016 at 05:47 PM Report Share Posted February 22, 2016 at 05:47 PM However as it relates to the Articles of Incorporation, RONR notes that the articles are a legal instrument. RONR recommends an attorney draft them and since they are a legal instrument the same care should be taken in amending them as there may be legal requirements/restrictions that apply. Consult an attorney.
