Her untimely departure from our clubs board has created a vacancy for the position of Treasure. The Club By Laws state under Vacancies: "Any vacancies occurring on the board or among the offices during the year shall be filled until the next annual election by a majority vote of the members of the board at its first regular meeting following the creation of such vacancy, or at a special board meeting called for that purpose, except that in a vacancy in the office of president shall be filled automatically by the vice president and the office of vice president shall be filled by the board". My questions are: 1)The bylaws are not clear on " who" could be selected to fill the Vacancy 2) Are the board of directors solely responsible on the selection of the nominee to be voted on by the board to fill the vacancy of Treasure? Or is the general membership nominate? 3) is the nominee to fill the vacancy selected from the board only? 4)Does our by laws, as stated, adequate regarding the process on filling the position of treasure? Or 5)Does the fall back to Roberts rules of order newly revised 11th edition any help, thoughts, suggestions, or guidance is greatly appreciated, Ted Quote Link to comment Share on other sites More sharing options...

Your provision covers the situation. One thing you didn't ask: Be sure to give notice that there will be an election, by the board members, at the next meeting. See p. 575 & 468. The board has the authority to select and fill the vacancy as they see fit for the position for the remainder of the term. The position could be filled by a club member in good standing OR a member of the board. Our club Bylaws are NOT silent on who the board can select to fill the position. See p. 575 & 468" The Notice of Election to fill the Vacancy of Treasurer; !) is this sent to the entire membership or the board of directors only? 2) Is the a time frame the notice must be sent be the board elects a new treasurer? ie. 10 days for the special meeting to fill the vacancy Our board meeting are not open to the general membership. Is the notice a invitation for general membership to attend? Or is it a Notice that the board will be filling the position a a special meeting? sorry for all the questions. There are two people that the board are considering. What are the voting rules when it comes to filling a vacancy? Is it magority vote or does there have to be 100% vote a particular person?
