Guest Mike Posted August 6, 2016 at 08:33 PM Report Share Posted August 6, 2016 at 08:33 PM Can a director or secretary be reinstated to their positions if they resigned because of false accusations by the chairman of the board?
Kim Goldsworthy Posted August 6, 2016 at 08:43 PM Report Share Posted August 6, 2016 at 08:43 PM It depends -- on "how" the resignation(s) were finalized. *** Example. If no motion was made to accept the resignations, then there are no resignations to undo. The officers still sit in office.
Richard Brown Posted August 7, 2016 at 02:42 AM Report Share Posted August 7, 2016 at 02:42 AM If the resignations have been accepted and are final and effective, reinstating the officers may or may not be an easy task. You will have to follow the procedure in your bylaws for filling vacancies. You can't just vote to reinstate them if your bylaws provide a different method for filling vacancies.
