execboardmember Posted April 8, 2017 at 02:05 PM Report Share Posted April 8, 2017 at 02:05 PM What is the proper protocol for an Executive Committee to accept the resignation of an elected officer and the proper procedure to replace that person? Hieu H. Huynh Posted April 8, 2017 at 02:26 PM Report Share Posted April 8, 2017 at 02:26 PM Do your bylaws give the executive committee the power to accept resignations and fill vacancies?
execboardmember Posted April 8, 2017 at 02:30 PM Author Report Share Posted April 8, 2017 at 02:30 PM It only states that "An officer who wishes to resign must present his/her resignation in writing to the President or to the Secretary of the Club." Hieu H. Huynh Posted April 8, 2017 at 02:34 PM Report Share Posted April 8, 2017 at 02:34 PM Then I would think that the club would accept the resignation and fill the vacancy.

Are you sure that's all it says? It would be unusual for your bylaws to make no provision for filling vacancies in office.
execboardmember Posted April 8, 2017 at 09:38 PM Author Report Share Posted April 8, 2017 at 09:38 PM It does state further with regards to time in office etc. but doe not state the specifics of accepting the resignation. My thought is to hold an Executive meeting to officially make a motion to accept the resignation in order to satisfy any reprecussion and then proceed with a special election to fill the vacancy. Hieu H. Huynh Posted April 8, 2017 at 10:47 PM Report Share Posted April 8, 2017 at 10:47 PM The executive committee only has such power that the bylaws provide. Unless your bylaws provide otherwise, the resignation would have to be accepted at a club meeting and the club would hold an election to fill the vacancy. Alexis Hunt Posted April 9, 2017 at 08:17 PM Report Share Posted April 9, 2017 at 08:17 PM Assuming, of course, that the club is what elects the officer in the first place. Unless otherwise specified in your bylaws, the power to accept a resignation and fill a vacancy rests with the same body that made the initial appointment/election.
