By-law approval

Our non-profit Organization by-laws (not Constitution) can be amended either by the General Body or 2/3rds of the Board of Trustees. We have an emergency fund in six figures and growing. The previous Board approved changes to the by-law which has loop holes such as 2/3rd's of the Board can alter or remove the Complete by-law thus the money can be used without approval of the General Body. The existing by-law was not presented to the GB previously except shown in an annual report. The present Board wants to get the General Body approval to close some of the loopholes. Two questions:

1.Can this be added to the GB Agenda to approve or amend the by-law to close the loopholes?

2. Can the Board with a simple majority add this as an Agenda item similar to other Agenda items which require a simple majority of Board.  Please note the GB will have to approve the Agenda also.

My answer to both is yes and would like to hear from the experts. Thank you.
