More yes votes than no votes. Abstentions don't count either way. They are not votes. Unless you have a special rule requiring some higher threshold, a motion can be adopted by vote of one to zero. It is the number of members present and voting that count, not the number of members who are present.

Assuming the remaining three members all vote, two.

It is also not correct that the member who is affected by the agreement can't vote, unless your bylaws or applicable law so provide. So far as RONR is concerned, he should not vote, but he has the right to do vote.
