Appointment of Standing Committee

The Board of Directors is creating a new committee and has written the following to be the specifics on membership in the committee:  "The Board should review and appoint the Chair/s and Members of the Committee, no less than annually. Membership should consist of at least one Director, and of others familiar with governance issues, either from past experience within (the society), or possibly outside of (the society). At the discretion of the Board, the Committee may include (the society) Members not on the Board, and/or non-members with expertise in governance-related issues. The President is an ex officio member of the Standing Committee on Governance."

I take exception to the possibility of having non members of the society sitting on one of its committees, irrespective of their expertise.  The society's bylaws state: "The directors may delegate any, but not all, of their powers to committees consisting of the director or directors as they think fit, or may delegate to committees consisting of other persons as they think fit."     

It would appear that as the society's bylaws allows "other persons" rather than "other members" there is no recourse to having a non member of the society sitting on this committee.  Is there something in Robert's Rules would allow a different interpretation that could be used in some way to achieve a rescinding of allowing a non member of the society to sit on any of its committees?

No, but the society has to approve of any non-members on its committees before the committee can get to work.  See p. 174, 492, & 496

Even in light of this society's bylaws that grant specific authority to the board to appoint non-members to committees?

It seems to me that that provision supersedes the provisions in RONR.

RONR says that the assembly must approve of such appointments. If these are committees of the board (which seems to be the case), the board is the assembly.
