Guest Lorne Posted May 14, 2017 at 08:40 PM Report Share Posted May 14, 2017 at 08:40 PM Can you have a bylaw amendment that authorizes the AGM to have certain powers of authority, yet, still have another section of the bylaws that allows the board to have power between the AGM? "no allied personnel shall be admitted to membership without the approval of a two-thirds (2/3) majority of the AGM delegates" - potential amendment "the board shall be the governing body when the AGM is not in session. The board shall take such action and render such decisions as are within the objectives of the organization" If the above amendment is adopted, does that now conflict with the powers granted to the board? Is it out of order?

Lorne Posted May 14, 2017 at 09:09 PM Report Share Posted May 14, 2017 at 09:09 PM Would the amendment listed above limiting power of the board to the AGM, but not changing it in the existing bylaws create a conflict. Can we have it written in one article that the AGM has a power and in another section say that the Board has an undefined power?
Richard Brown Posted May 14, 2017 at 09:25 PM Report Share Posted May 14, 2017 at 09:25 PM (edited) What do the current bylaws say about the powers of the board? Is it the second paragraph that you have in quotes ? Edited to add:how are new members currently admitted? I guess we are confused as to what your bylaws currently say and what they would say with the proposed amendment.
