Guest Mike Posted May 22, 2017 at 12:37 AM Report Share Posted May 22, 2017 at 12:37 AM A board has five members. One member does not attend a meeting, leaving four present. One of the four cites a conflict of interest in the matter being discussed, recuses himself and abstains from voting. A motion is made, the vote is 2-1. Since only three members actually vote, is 2 a valid majority for the motion? Or, since there are four members present, is it irrelevant that one abstains, and 3 votes is still required to carry the motion?
Guest Who's Coming to Dinner Posted May 22, 2017 at 12:50 AM Report Share Posted May 22, 2017 at 12:50 AM A majority vote is more than half of the the votes cast, not of the members present. The motion was carried.

Richard Brown Posted May 22, 2017 at 02:37 PM Report Share Posted May 22, 2017 at 02:37 PM Guest Mike, not only is the 2 to 1 vote a majority vote, it is also a two-thirds vote since there are twice as many yes votes as no votes. As stated in the answer to FAQ # 6, abstentions don't count and don't affect the result one way or the other.
