Question on quorum and exec. whitlesblowers

I had a question regarding a quorum.  If a non profit by-law states that a quorum can be 2 directors and only 3 out of five of the executive board members, is that only if the entire executive board was notified, and for some reason they could not attend; or can a "private quorum" be held without the entire executive board's knowledge of said meeting?  This would be the exclusion of the president and secretary as they have reported the other members for their non disclosure of expenditures as required by their by laws.  In essence, not including whistleblowers in the budget meeting.

The quorum is simply the number of members that must be present.

The presence of a quorum, however, is not the only requirement to conduct business. All members of the board must be notified of a board meeting. If this requirement is not met, then the meeting is not valid and any business conducted is null and void, notwithstanding the fact that a quorum was present.
