And when a vote is taken, we need a quorum, which would be at least 3 of the voting members. Ok, one of our voting members has just recently passed away. We have to take a vote to fill his position until the end of his term. My question: do we still need a quorum of 3 or since the passing of our 5th voting member does our quorum now become 2 because? Joshua Katz Posted June 6, 2017 at 05:28 PM Report Share Posted June 6, 2017 at 05:28 PM The easy answer is that it doesn't matter if the quorum is based on seats or people - either way, it will be 3. 2 is half of 4, not a majority. The harder answer (for more general applications) is that I think it is unclear, but most of us here seem to be in agreement that it is a majority of actual members, not seats.
