Guest Kay Posted July 16, 2017 at 02:04 PM Report Share Posted July 16, 2017 at 02:04 PM A Boardmember sent an email asking for an executive session to remove the chair stating the chair was not using care of duty. Can one boardmember call for an executive session out of the blue.

Well, a member must first move to go into executive session before it can be done. It requires a motion and a second. Also, there is nothing wrong with a member sending out an email to notify other members that he plans to ask for an executive session at the next meeting. Bruce Lages Posted July 16, 2017 at 07:19 PM Report Share Posted July 16, 2017 at 07:19 PM Are you asking if this person is asking for a special meeting, to be held in executive session, to consider removal of the chair? If the request is for a special meeting, the answers will be very different than asking to go into executive session. You'll need to look to your own rules to see how a special meeting can be called. Guest Who's Coming to Dinner Posted July 17, 2017 at 02:26 AM Report Share Posted July 17, 2017 at 02:26 AM No one can call a special meeting, secret or not, unless your bylaws allow it. And then, you must follow whatever procedure is prescribed. BTW, I think the expression is "duty of care."
