We have six elected officers that make up our Executive Committee (EC) and a quorum for an EC meeting is designated in the bylaws as a majority. One member of the EC has resigned and the resignation has been accepted. An appoint for the position has yet to be assigned. How is the quorum now computed? The Quorum, if the committee has one vacancy, would depend on the exact wording of the bylaws regarding a quorum of the executive committee. If the bylaws provide that a quorum is a majority of the members of the executive committee, then the Quorum of what is right now a 5 number executive committee would be three. However, if the bylaws say that a quorum shall consist of a majority of the full authorized membership of the board, then the quorum would be based on six members rather than five.
