That is, the Board has passed a motion that requires that the chairman write a letter to inform parties of the action taken by the Board. Because the Chairman was dissenting he, the V. Chair and the Secretary refuses to write the letter. Can the Board vote to appoint someone else to carry out the wishes of the majority of the Board? Kim Goldsworthy Posted June 22, 2010 at 12:42 AM Report Share Posted June 22, 2010 at 12:42 AM Can the Board vote to appoint someone else to carry out the wishes of the majority of the Board?Yes.You can have a complete stranger do the typing.It does not matter who signs the letter. - So have a board member who did support the motion to sign on behalf of the board.It most important factor is that the proper party (here, your board) made the decision, properly.No president can hold hostage an entire board, unless you have a rule (i.e., bylaws) which grants exclusive power to your president, such as "the drafting of letters."
