Our bylaws state that "the immediate past Chair is an ex-officio member of the board." The bylaws do not expand on the role this specially-designated member can play: Without clarification in our bylaws, can RONR provide any guidance? Can she vote? Does she have the right to attend executive sessions? The assumption has been that the ex-officio is a "non-voting member," but there is no written clarification

I should clarify - the immediate past chair is no longer an elected member of the board, having chosen not to run for a board position.
