sandye Posted August 2, 2017 at 06:31 PM Report Share Posted August 2, 2017 at 06:31 PM I recently was hired by a nonprofit 501c6 as their first Executive Director (they previously had no full-time staffing) and discovered that the organization did not approve 6 sets of minutes from 2015/2016. Can the current Board approve the minutes?
Richard Brown Posted August 2, 2017 at 06:38 PM Report Share Posted August 2, 2017 at 06:38 PM Yes, assuming the board is the proper body for approving those minutes. Are they minutes of board meetings or of general membership meetings?
sandye Posted August 2, 2017 at 06:46 PM Author Report Share Posted August 2, 2017 at 06:46 PM Thank you! They are Board meetings, not membership meeting minutes.

sandye Posted August 2, 2017 at 07:13 PM Author Report Share Posted August 2, 2017 at 07:13 PM Can you point me to a reference regarding this? The current Board has some overlap with the people on the 2015/16 Board, but some are wary of such a long delay in reviewing/approving the old draft minutes. If current board members were not on the board in 2015/16, do they have to abstain? Thank you!

If current board members were not on the board in 2015/16, do they have to abstain? This usually relates to an assembly not approving one set, but it would apply in your case as well: " If the minutes are not thus taken up before adjournment, they are read and approved at the following meeting, before the later minutes are taken up." RONR (11th ed.), p. 474 and as to abstaining - " It should be noted that a member's absence from the meeting for which minutes are being approved does not prevent the member from participating in their correction or approval. " RONR (11th ed.), p. 355 That absence would include not being a member at all. You really must think of the board as an ongoing entity, and harass them to approve the minutes properly.
