board of director problems

I belong to a club that is run by a board of directors.  Very little is ever voted on by the membership other than electing a new board.  Recently the president resigned and as per the bylaws the vice president was moved up to president.  That leaves 6 on the board.  Per the rules they asked for members to submit resumes for the vice president position.  two have done so and it is a stalemate as 3 are voting for one and 3 for the other.  No one will give up.  This is a problem in itself, but the fact that there is an even number on the board has caused even further problems.  There is a large complaint filed against one of the board members and she is being allowed to vote on whether to uphold this complaint and possibly be removed from the board.  Is there anything in RRO that says a board member should not be allowed to vote on a situation that involves them?  with her voting on this problem it makes 3 against 3 again and nothing can be decided.

RONR says a member should not vote on a question in which she holds a personal or pecuniary interest not shared with others, but it also says that the member may not be compelled to abstain.

A tie vote in an election results in no election and the voting must be repeated. A tie vote on a motion, such as "to uphold the complaint against Ms. X," defeats the motion.

Do your bylaws grant the board the authority to remove its own members? Unless your bylaws provide otherwise, this authority would rest with the membership, since it is the membership that elects board members.

I suppose that eventually, the membership will elect the director for this position. Check the details.
