llws1950 Posted August 19, 2017 at 09:24 PM Report Share Posted August 19, 2017 at 09:24 PM I belong to a club that is run by a board of directors. Very little is ever voted on by the membership other than electing a new board. Recently the president resigned and as per the bylaws the vice president was moved up to president. That leaves 6 on the board. Per the rules they asked for members to submit resumes for the vice president position. two have done so and it is a stalemate as 3 are voting for one and 3 for the other. No one will give up. This is a problem in itself, but the fact that there is an even number on the board has caused even further problems. There is a large complaint filed against one of the board members and she is being allowed to vote on whether to uphold this complaint and possibly be removed from the board. Is there anything in RRO that says a board member should not be allowed to vote on a situation that involves them? with her voting on this problem it makes 3 against 3 again and nothing can be decided. Guest Who's Coming to Dinner Posted August 19, 2017 at 09:35 PM Report Share Posted August 19, 2017 at 09:35 PM RONR says a member should not vote on a question in which she holds a personal or pecuniary interest not shared with others, but it also says that the member may not be compelled to abstain. A tie vote in an election results in no election and the voting must be repeated. A tie vote on a motion, such as "to uphold the complaint against Ms. X," defeats the motion. Do your bylaws grant the board the authority to remove its own members? Unless your bylaws provide otherwise, this authority would rest with the membership, since it is the membership that elects board members. Tom Coronite Posted August 22, 2017 at 11:50 AM Report Share Posted August 22, 2017 at 11:50 AM There was a resignation. The sentence you partially quote mentions the president resigned, so apparently he's off the board.
llws1950 Posted August 22, 2017 at 08:06 PM Author Report Share Posted August 22, 2017 at 08:06 PM Yes the president resigned and the by laws state that the vice president moves up. Now to replace the vp the board of directors has to pick. but they can't... there are an even number.
jstackpo Posted August 22, 2017 at 08:26 PM Report Share Posted August 22, 2017 at 08:26 PM Perhaps with a little "friendly persuasion", the board can find some other person (your proverbial "dark horse") on whom a majority will settle, so you can get on with business (and living). I suppose that eventually, the membership will elect the director for this position. Check the details.
