Removing Board members

Our small social club has adopted RONR for all of our business. Unfortunately we have ended up with a dysfunctional Board which needs to be replaced for the health of our club. Our club By-Laws make no provision for removing/replacing a complete Board. Is there any guidance or protocol somewhere in RONR which we could use to get through this process without just "winging it".

If the Board is dysfunctional because of lack of attendance at meetings, perhaps "suggesting" that those who do not even show up resign might work.

Sometimes, "dysfunctional" boards are due to members whose entire "role" is causing trouble. If you give such folks a "job" with some work to be done - sometimes they leave.

We want to rid of our president who is cancelling checks what we all agreed to write.

and threatening to allocate funds to other departments other than the one we ( as a non profit ) fund raise for.

she in a meeting resigned... verbally and then came back as said she didn't, We do have a voice recording of her resigning ..

 

she still tells people she is the president and didn't resign. now, I see nothing that says she has to have it in writing to resign. and how do we proceed. call an emergency meeting and do a no confidence vote. . I belive this jan her term is up....? please help.
