Guest Scott Posted June 7, 2010 at 05:06 PM Report Share Posted June 7, 2010 at 05:06 PM Our club has open board meetings and any members are welcome to attend. We have a group of board members who are trying to make changes behind the memberships back, so the called a special board meeting and are treating it as executive session where all info discussed is considered privlaged to prevent other on the board from being able to discuss the topic with the general membership. My question is, if our board meetings are open to members would a special board meeting also be open to members? Thanks

ThanksThe answer depends on if the right for members of the General Membership to attend Board meetings is located in the bylaws, and if so what the exact language says. David A Foulkes Posted June 7, 2010 at 08:03 PM Report Share Posted June 7, 2010 at 08:03 PM I'll toss this in to the mix. Best as I know, a Special Meeting is not the same as Executive Session, although I believe a special meeting could move into ES. And special meetings need to be authorized in the bylaws. Are they? ThanksIsn't a special board meeting a board meeting? If non-members (of the board) are admitted to board meetings by custom, that custom can be changed. If non-members (of the board) are admitted by rule, that rule would have to be changed.
