Committee. (13 members) We recently had a decision made by the Chair of the Exec. Committee that is not supported by vote from the Exec. Committee. Several Exec. (RONR, 10th ed., pg. 440, lines 22-25) So if he doesn't have that authority the process is for the board to ignore what the chair did and just make a new motion. "Overruling" or "amending" would imply that the chair had some authority to begin with. Disciplinary action against the chair may also be appropriate.
