For certain duties, our Bylaws state that the Board must approve after the item has been recommended by the Exec Comm.

For others, such as Appointing Officers, they state that the Exec Comm must approve with no reference to a Board approval to follow.

They also state that we have 3 Appointed Officers, however in reality we have 5 ongoing.

May the incoming President designate a new Appointed Officer with just the Exec Comm approval?

Also, does Roberts address how policies may be created or revised? I can't find anything in our Bylaws that addresses this issue.

You can only have the officers listed in and/or allowed by the bylaws, which must be appointed/elected in accordance with the bylaws.

For guidance on policies, see p. 15-18 in RONR 10.
