Chris Harrison Posted November 9, 2011 at 02:24 AM Report Share Posted November 9, 2011 at 02:24 AM If the motion conflicts with the Constitution then the Chair should rule it out of order. If that didn't happen and the motion ends up being adopted then it would be null and void because it conflicts with the Constitution unless the rule being violated is in the nature of a suspendable rule of order (RONR p. 251[a]). Tim Wynn Posted November 10, 2011 at 04:02 AM Report Share Posted November 10, 2011 at 04:02 AM How is the board to accept/proceed a resolution that goes againist the organizations constitution. The resolution wants one person per committee to vote where the constitution states that 3 people from each committee can vote. This would require a bylaw amendment. The provisions in the bylaws for their own amendment must be followed. If there is no provision for amendment in the bylaws, they may be amended by a two-thirds vote if notice has been given or by a vote of a majority of the ENTIRE membership without notice.
