President unhappy with boards decision

Our board voted on a motion at our last meeting regarding where particular funds were to be placed. unfortunatly at that meeting the President was unable to attend so the 2nd stepped in. The motion was passed with all board members voting in the same way. When the president learned of the boards decision, she was upset with the decision and now wants it put back on the agenda to be reconsidered at the next meeting. I, along with some of the other board members are new to this process so my question is, Can this vote be overturned once the motion was already voted on, passed and placed on the minutes? Any information would be greatly appreciated.

Yes. That is a motion to rescind or amend something previously adopted. It can only be done of the action(s) authorized by the motion have not been completed.

It requires a majority vote, if previous notice given, a 2/3 vote if no previous notice given or a majority of the entire body if no previous notice.

Thanks. When you say "motion have not been completed"...does that mean that since the funds in question have already been transfered to another account (within the same organization) it is completed and connot be amended or rescinded?

If the motion was to transfer funds from account A to account B and that has happened then the motion has been fully executed. However, nothing in RONR would stop you all from adopting a motion to transfer the funds back to Account A.

… and this would require a majority vote, just the same as a motion to paint the clubhouse red after it had already been painted blue. However, the organization could adopt a standing rule about where money is to be kept, which would have continuing force and require a higher vote to amend or rescind.

I assume that the money still belongs to the organization? For example, instead of being placed into the organization's chequing account, it was placed into the savings account. If so, another motion could simply be made to place it another account.

However, just because the President did not like the decision does not mean that the Board has to agree.
