Thanks Richard. Do you have to have a motion to adjourn the meeting?

Who calls the board meeting to order? The President or chair? Does this require a motion? Also does it require a motion to approve the previous meetings minutes?

Our board doesn't have a Facebook account, but they are constantly communicating by email and making decisions outside of the meeting. Is this appropriate?
