  1. The board has no funds and the money spent is put in as a donation by board members so it is not asking for the Board to expend funds
  2. Under this passage, and since this has been our practice and part of the procedures we have worked with due to the length of time between meetings and the fact that we do not have anything against this in our Bylaws wouldn't it take a majority vote to change this.

We have 4 months in between meetings, and previously as policy when we have a fundraising issue come up we have sent around an email to all board members for consent to do the fundraising if it falls between meetings or the issue comes up and has to be done immediately we now have a new member Who is not happy with these policies and procedures and would like to "Roberts rules as saying electronic voting is illegal"this is the same board member who did a fundraising without any consent from the board Quote Edit Options
  4. The slate of candidates should have just been announced to the Board, but as of past procedures a motion was made to accept and seconded and approved the slate of candidates. That slate will now be announced to the association in a publication At which time independent nominations will be requested with a due date , so as to put the election ballots out to be voted on and announced by our Annual meeting. All of which follows our Bylaws.
  5. I do not see it that way our Bylaws are silent on that fact, and it was a question that was ask. I was just looking for clarification
  6. The Bylaws state specifically in them, when received in writing (Post or Email )not when announced. I posted above, word for word the Bylaws section on Resignations

Our Bylaws state : Written Resignations, Resignations of Directors, officers, council members and committee members shall be in writing (post, e-mail), and shall take effect upon receipt by the Board of Directors. This email was sent to all Directors so as per our Bylaws it is in effect correct we do not have to wait to next meeting? But any withdrawal would have to be voted on at the next meeting. Am I correct?
  8. If a member of a Board of Directors sends their resignation to everyone on the Board via email 1)Do we have to give them a certain amount of time to rescind their resignation. 2)Can they rescind their resignation.

Our nominating committee proposed a slate of seven members of the Board of Directors who's terms were ending this year, Out of a potential 8 open seats, to be re-elected at the annual meeting in July. A motion was made to the whole Board that this slate be approved. There was not another qualified member to fill the 8 th seat that met the attendance requirements. The motion passed and we moved on the problem occurred now 2 days later someone decided we might have made a mistake. They have been reading Robert's rules and think that the members should have recused themselves from voting on the motion to put forth the slate because their names were in it. Is this so and if so what would be the procedure. p
