If the Bylaws have language that the Officers may be appointed by the Board then appointments are permitted. I would also suggest that the definition of who the Officers are: only appointees named as positions, ie. Treasurer, Auditor, Secretary. good luck

yes thanks, we are changing the bylaws to include emergency restrictions. We would like to also include elections in case this ever happens again. Terms of Board are quite specific. Just trying to include everything as Bylaws are a pain to amend. Thanks again.
