  1. The president of our 501(c)(3) board resigned, but set the effective date as the end of our next annual meeting in early 2022. Does the Board have to accept that date? Or can it make the resignation effective immediately? Our bylaws have nothing specific beyond how the vacancy is filled.
  2. I am an officer in several 501 (c)(3) organizations, two in PA one in NJ. All governing documents have requirements for a certain level of involvement to be eligible to run for corporate office or vote in corporate elections. For instance, the organization in PA requires attendance at three events and dues paid. However with the current pandemic people may not meet these requirements because of governmental shut-downs. We are facing the no-one may meet the minimum requirements, and/or we may not meet quorums because of pandemic restrictions. One possibility is to treat 2020 as a bye year, that is, as if it did not happen, and extend all corporate offices by one year and holding elections in 2022. Would such a step be possible? And, if so, could the current board vote to do this, or would the vote of the membership be necessary? Boards can meet virtually (and have been) but there are no provisions for virtual meetings of the membership as a whole. I deeply appreciate any advice.
