    Split board voting

    Need assistance.....We have a board the consists of 5 people. One person has resigned. This open seat is not suppose to be up for reelection until the next year in Oct. The remaining board members are split when it comes to voting on anything for our organization. We cannot even get a vote to get someone to fill that open seat without having a split vote. How can we resolve this issue?

  3. Hi, I live in a Condo in Rochester, NY, last year when attending the annual meeting. There was 2 sits open for the board of directors. When all ballots were collected. The secratary ( also step daughter) to the management company only counted the votes, is this legal? The management company does not send out a form before the meeting asking if anyone is interested in running for the board when positions are open, and the same people that are currently on the board they say are running again. So most in the community mail there proxy in before the meeting not knowing that anyone else is
  4. At a board meeting a motion was presented after a recommendation by a committee, a vote was taken and the motion was defeated by majority. Can this motion be brought back up and revoted on at the next meeting?
  5. Our board has a general meeting tonight to vote on our slate of nominees. The nominating committee has been working for two months, but there is one board position for which we have no nominees. Our standing rules state that nominees who are not on the slate may be added to the vote from the floor only if they have given a 10 day notice that they intend to do so. I realize that with a majority vote, we can suspend the standing rule for the night. But, if there is still no nominee who steps forward, what is the procedure? And what is the process going forward?     I understand that when a topic is brought to the Board it is sent to Committee and then the Committee makes a recommendation to the Board for consideration. Could a Board vote on a matter without having the topic sent to a Committee. I thought you never vote on a matter without discussion by a Committee (Committees work; Boards decide). Please help...our Constitution does not clearly address how a topic can be brought to the Board, etc. Our Constitution does reference the utilization of RONR for areas not addressed under the Constitution. Thank you.
  7. Suppose vote on a motion is by faxing ballots. Ballots have to be faxed within a 3 day window. After the first day, with unknown known (to the members) number of ballots returned by fax, the chair terminates the balloting claiming error in the writing of the ballot. Is voting termiminated? Is vote void? Is vote voidable? Must results of ballots received be disclosed?
  8. Can a vote be voided after it has begun? Association holds vote on issues by "evoting" in which "evotes" are to be cast over 48 hour period. Votes are cast within the first 24 of the 48 hours. After these votes cast, but before the 48 hours has run, the Chair declares the vote void. Does the Chair have power to terminate the vote under RONR or must the vote continue?

    How to count votes

    Our ByLaws and Constitution are both silent on how votes are to be counted, and by whom, in the case of an annual election for Board members where nominations have been made from the floor and a secret ballot will therefore be required, rather than a show of hands. Is there a general approach under RONR as to how this should be done? Headed by the Secretary? The Membership chair? A quick response is most appreciated. thanks, gail

    Our organizations leadership was presented a budget reduction proposal. Our leadership group motioned, and seconded to presnt the proposal to the generla membership for a vote. Does the general membership have to motion and second again for the vote to take place. Also, does the leadership of the group have the right to make a judgement for themselves if a topic is not covered directly in Roberts Rule. A quick response is appreciated. Thank you

    Validity of a vote

    A recent vote was taken to change the way a committee handled it's returned winning entries (not affecting judging). The person who wanted the change and brought it to a vote did not disclose that she had many entries in the competition; she did not recuse herself and voted for the change. Is the vote valid? Can it be rendered null and void based upon the lack of information prior to the vote?
  12. I belong to a non-profit organization where all elected officers are volunteers and any voting members are required to attend a certain number of meetings before being eligible to vote. The President, VP, Secretary, Treasurer and 9 directors voted unanimously twice in Director only meetings, once for the budget recommendations and once in regards to hiring a caretaker, both times at the monthly general business meeting the voting members (who had just attended enough meetings to be eligible to vote, and who up until that time had never attended or volunteered for this organization) came in and

  16. Hello, I have searched for the answer to my question and have come up empty handed. I am curious if the Chairman of a Representative Assembly has the right to revoke an elected representative member's voting rights? Are there certain circumstances where the Chair would be allowed to revoke voting rights?     vote passing?

    from reading the robert's rules of order "in brief"...i'm getting the impression that all votes require a 2/3 majority in order to pass. is that true? also, does the president get to vote on motions? or does he only vote in the case of a tie?
  20. Can a board member be re-instated without a vote? I ask because we have a board member that was voted to be removed two years ago. Now he has attended our last two meetings as if they are back on the board. He claims that there was some discussion on him being re-instated, but there is nothing in our minutes to prove so. Any discussion concerning his re-instatement must have been after one of our meetings with a few select board members. My agrument is that is without a vote to re-instate, then he cannot "officially" be re-instated as a board member. Doesn't robert's rule of order protect s

Is it legal to have a proposal submitted that must be voted on by the full membership of an organization to change voting procedures from hand voting to electronic voting starting with that meeting? If so, if that particular proposal is in any position other then the first ballot question, could that change in voting procedure void earlier votes in the meeting and require an electronic revote on all previously voted upon proposals?

    We recently held a vote of our board members. Two days after the vote, we found that one on the members that voted...is in fact not a board member. They were removed from the board two years prior, but none of the board members were aware until after the recent vote. Does this vote count, or is re-vote required to make the results legit? I wasn't sure if a non-members vote was included...if it makes the vote results null and void.
  23. can someone please point me to the requirements/procedure for voting in new board members under roberts rule of order? i was wondering if multiple people can be voted in at one time on the same vote? if their is a discussion process required to vote in new members...which is then followed by a vote? just curious as to how roberts rule of order requires new member approval?
  24. We currently have a husband/wife board combo each receiving 1 vote. Our President would now like to add his wife to our board, and another board member would like to add his wife as well. This would mean 6 votes of our 10 person board would be occupied between 3 households. We are a 501c3 organization. Does Roberts Rule of Orders say anything about that? I see it as a chance for collusion and an act of poor governing? The current husband/wife combo has stated they have no problem stepping down.

The charter of our corporation under the Removal clausestates the following: "Any or all of the directors of the Corporation may be removed for cause by a vote of a majority of the entire Board of Directors." It has been suggested that "... the entire Board of Directors" means the number of directors, including any vacancies on the board. What do you think?
