    Abstention Votes

SO my question is what happens if the entire committee decides to abstain. Meaning that there were not votes for or against the motion and only abstentions. For instance, if there is a motion and the vote count is zero ayes zero nays but 4 abstentions, does the motion pass or fail?
  2. Our Annual fraternal convention (usually around 900 attend) which has approximately 500 delegates registered, is in the process of being cancelled due to Covid restrictions. However, we still want to elect the next incoming officer so that future conventions, fundraising, etc can be commenced. Our by-laws do not currently have anything regarding virtual meetings and/or voting electronically. From reviewing the Forums it looks like the best way to accomplish this since we cannot meet to amend our By-laws is to: Have the Board of Directors adopt a policy allowing virtual meetings an

    Why the right hand?

When members vote by raising their hands, is it necessary that they raise their right hand? Is there a procedural reason, or is it just tradition?
  4. My state organization's Constitution and By-Laws do not specify that an officer must be elected by a majority vote. In the past, we have made the selection based on a plurality in some years, a majority in others. However, I seem to recall reading awhile ago in RONR that if there is no provision stating otherwise, a candidate must receive a majority of the votes cast to be elected. When I went back to check, I could not locate the paragraph I wanted. Am I mis-remembering? If not, could you indicate which chapter/section (or even page number) of RONR I should find this information in?
  5. Hi, If a a nominating committee, or other committee, vote ends in a tie, does the president of the borad, cast the deciding vote?
  6. If a sub-committee votes on an item and it ends in a tie, can the item be moved to the committee or does it die in the sub-committee?
  7. I am the President of Lake Ridge Civic Association in Ft. Lauderdale, Florida. This is my second year and I still consider myself as a rookie. I was advised by my other EB Officers who seem to know Robert's Rules that we could make this decidion. The EB has a right to meet, and make decisions if necessary without the full Board. I just want to know if that is correct: Main Question: My Executive Board (Pres/VP/Sec/Tres.) met last Saturday minus one member due to illness. We had a Quorum of the Officers. We, the EB, voted to redesign our web site, to incur a cost of $20 per month and a one time
  8. At the Annual Meeting votes were cast to fill several broad members. After the ballets where cast the President stated that the votes would be count later and the results would be in the minutes. Is these allowed under the rules?
  9. We have by-laws that require secret ballot voting. After voting, votes counted & results announced at meeting can board members ask for a show of hands or ask members to stand to show how they voted (for or against)?

    Legal ballots

My question pertains to voting for the board of directors of a condo association. The Board consists of 5 members. Under RRO is a ballot considered illegal if a condo owner votes for fewer (4 or less) than the maximum number (5) on the board? The by-laws do not specifically address my question, and we have been told by the Board that voting is conducted in accordance with RRO.

  12. Constitution states: Minutes of all Executive Committee meetings, including teleconferences, shall be kept and promptly promulgated to the Association members within 30 days of the meeting. So if a vote is caried out in Executive Session, do the members have the right to see the passing of that vote in the promulgated minutes?
  13. Hello; My wife and I are on the board of directors for a non profit community theater. we decided to put together a proposal to present to the board about putting on a show in the fall. I as the director, and my wife as the choreographer. In the proposal, we also had a projected budget as well as a preliminary list of folks that were interested in other production positions. One of those folks is also on the board and had expressed initial interest in being our costumer. This person was sick and could not physically be at this meeting. All of the above mentioned production positions are paid

    Elections

Our bylaws state: “The executive committee shall consist of not less than three nor more than nine proprietors and shall be elected at the first general meeting of the corporation and thereafter at each annual general meeting provided that where there are not more than three proprietors the executive committee shall consist of all the proprietors”. There is no mention of the method to elect this EC. There are some that want to limit the number of members by having those elected by more yes votes than no votes. Others want to elect all those entitled up to the # of 9 While I have gone through
  16. We just had a board meeting and at conclusion we elected new board members well out of the blue someone was elected from floor that was not present and the person that was electing them was not even sure that they would accept well that person got one more vote than the returning president. Does that person need to have been there . The votes right now are also in question need help
  17. I am on the BOD for my organization and we keep having an issue arise. Last board meeting it was voted with a unanimous nay. This past board meeting (three months after the other) it was voted with a 5-2 vote for yea. I am frustrated that once an issue has already been voted on that our Secretary can bring it up whenever things don't come out the way they want. Is there anything stating that after an issue has been voted on and decided upon, the same issue can or cannot be brought up again at the next meeting? And is there something saying that how often can it happen? Thank you!
  18. Can members pass out hand bills to influence the vote during the meeting where the vote occurs? Can they stand in the building and do the same? Are they allowed to stand next to the voting table & the ballot box to try to influence the vote?

    Absentee voting

My club allows absentee voiting for our election of officers when a member is not able to attend the meeting for elections. We are currently facing a vote to increase dues at our next general membership meeting. We have members that are unable to attend this meeting but believe they should be able to cast an absentee vote same as they are permitted to do so for our election of officers. I am thinking that these members correct and because they are unable to attend a scheduled meeting should be permitted to cast an absentee vote on this subject or any other subject that requires a membership
  20. A non profit membership organization is being sued by one of its members. Club has services of attorney. As the organization is small, many of the board members have had past 'business relationships' or transactions with the plaintiff. The attorney periodically briefs the BOD on status of litigation. BOD may be asked to approve various courses of action, and eventually possibly a settlement. Some members of the BOD believes they can pass a motion 'recusing' another member from being present at the attorney's briefing and that the motion would in some manner remove that member from any

    How Many Votes?

Recently, an organization I belong to was called upon to vote on a replacement for a resigning director of the board. In this particular organization, there are a number of affiliated clubs - each having the option of electing or appointing a club representative who can attend board meetings and vote on any issues at hand. After our most recent election, one of the newly elected directors also happens to be a representative of an affiliated club. Our president suggested that this individual could actually vote TWICE on issues brought before the Board - once as a director, and once as an affi

    Voting question

Last meeting community projects were proposed and debated. Vote to takeoff t next meeting. In meantime learned these projects were not vetted through. Committee that it should haverior to going to further. Also, more information has come to about one of therojects nd it's lack of feasibility. Should I call. Point do order or should I amend the main motion by striking out that particular project in the verge. Should I refer it back to the committee skipped. Also, after debate is the question immediately suppose to be called. It wasn't. Any advice appreciated.
  23. If the org.'s by-laws state, if a member is running for office uncontested then vote by members is by voice and if there's more than one candidate, vote shall be by ballot. In the second case (more than 1 candidate), are absentee ballots acceptable. Thank you so much!
  24. We have an executive board for a car club that had trouble filling all the offices therein. So we have 2 members doing the job of two positions. Do they get two votes or one like the rest of the board?

    Voting

Chapter will vote on candidates for membership. The recommendation is decided by 2/3 affirmative vote of active members of the chapter who are present and voting. A member must vote “yes” or “no” if she wants to have a say in the election of new members. The chapter voted to invite up to five candidates for membership. There are seven candidates on the ballot. You must vote on five candidates as “Yes” and two candidates as “No” for membership. Is this acceptable (information that is bold)? If it is, please provide Article and number from Robert Rule of Orders.
