At a board meeting, the president said: You understand that this next matter will be an executive session. And the discussion started. No formal motion, no second, no vote. Was this a proper and valid executive session? Are the participants bound ? Thank you.
Our organization, non-profit, is run by a Board of Trustees. Members of our organization have called for a special meeting. At this meeting, a motion may come to the floor that the BOT temporarily suspend work that they are doing. Our By-Laws do not address whether or not the BOT is bound to follow the vote of the organization. Does Robert's Rules have an answer to this situation?
