  1. HI, If we have legal action taken against us and we did not approve minutes of the action in question are the draft minutes considered the official minutes? Is there a point in time when the draft minutes become the official minutes? Can minutes be official if they have not been approved?
  2. Last quarter, the meeting began with a quorum established. Prior to conducting business, the quorum was no longer present and remained that way for the duration of the meeting. No business was conducted, mostly reviewing reports in the pre-meeting packet and some random staff introductions. The question at this quarter's meeting was can the board approve minutes of an inquorate meeting? The minutes contained list of those present and the acknowledgement of a lack of quorum. We are a non-profit. As a result, the auditors and some of our funders request copies of the approved minutes on an annual basis. Thank you for your help.
