    By-Laws

    MY COMPANY HAS BY-LAWS FROM 1984. THE BY-LAWS STATE THE PRESIDENT AND CEO IS MEMBER EX-OFFICIO OF ALL COMMITTEES. THERE ARE NO RESTRICTIONS MENTIONED IN THE BY-LAWS REGARDING EX-OFFICIO AND NO OTHER MENTION OF EX-OFFICIO. THE BY-LAWS HAVE NEVER BEEN AMENDED AS WELL. THE QUESTION IS, IF A QUORUM HAS BEEN MET AND IS PRESENT DOES THE PRESIDENT HAVE A VOTE WITH THE OTHER DIRECTORS?

    Quorum

    Our by-laws state a quorum of 25 is necessary to hold a meeting. The president held the meeting with only 21 present. I presume this meeting is null and void. What do we need to do now?

    Suspension of a board member who is derelict in the duties of his title ex. Treasure refuses to submit financial documents to the board upon request many times , now that Treasurer resigns from the board and still refuses to turn over financials with the presidents approval. Only board members on the financial account are the president and treasurer. A new treasurer was appointed and the president refuses to approve the bank signee of new treasurer. Want to suspend the president and old Treasurer from the association .. suspension is not covered under our bylaws ! Help SOS

    If someone is running unopposed for an office and the majority of voters vote NO, is the candidate still elected?

    Right to vote

    a 14day notice is required prior to election of directors at the annual meeting members renewing. There membership during this period have not been properly noticed can they vote
