Amending By-laws

Can the board of directors of a state registered non-profit change the meeting dates in existing by-laws without a vote of the members? Or does the board have to receive a recommendation from the by-laws committee before change the meeting dates then take it to the membership.

If the bylaws specify when meetings are to be held you must follow them. If you want to change them you must follow the bylaw amendment procedures which should be spelled out in them.

You will need to check the amendment process in your Bylaws to know for sure, but the power to amend the Bylaws is generally reserved for the general membership. The meeting dates in the Bylaws may only be changed by amending the Bylaws.
