Can a Special Meeting Be Called

and emergency meeting was called under our bylaws and the director stated since they can't be there, that he has to be rescheduled, this meeting is being calling because of the Directors actions and acting more as a Dictator instead of a facilitator. What can we do, do we move forward with the meeting or do we reschedule, and does the Director have to be present to have a viable meeting.

Assuming the special meeting was called properly (with notice to all members, etc as should be noted in your bylaws), there is no RONR requirement for attendance. Although, it would be unpleasant to learn that the date/time was set with advance knowledge of his inability to attend in attempt to keep him away. It's not a parliamentary issue, but it could become an issue. As long as you have a quorum, business goes on. Barring any stipulation in the bylaws, meetings can't be canceled or rescheduled.
